# Terms and Conditions

### 1. Agreement and Acceptance

By accessing and using this website, or by registering for and using any SoteriaSec Pte Ltd (SoteriaSec) hosted services or online products, you agree to be bound by these Terms and Conditions. These terms, together with any applicable service description, privacy policy, or data processing agreement provided by SoteriaSec, form the complete agreement between you (the User) and SoteriaSec and supersede all prior communications, negotiations, arrangements, and agreements, whether oral or written, relating to your use of the website or services.

SoteriaSec operates in multiple jurisdictions. References to specific legislation in these terms apply where you access or use SoteriaSec's services or products. Where you are located in Australia, the Australian Consumer Law applies to the extent permitted by law. Where you are located in Singapore, or SoteriaSec's services are accessed from Singapore, Singapore law applies to the extent permitted by these terms.

### 2. Changes to Terms and Services

SoteriaSec reserves the right to change, modify, add, or remove portions of these Terms and Conditions at any time. We will endeavour to notify you of any significant or substantive changes where possible. Your continued use of our website or services following such changes constitutes your acceptance of the revised terms.

Material changes to these terms will be communicated to users with reasonable notice. Continued use of the website or services after such notice constitutes acceptance of the revised terms. If you do not agree to the changes, you may discontinue your use of the services.

### 3. User Accounts and Registration

If you register for a SoteriaSec hosted service or online product, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify SoteriaSec immediately of any unauthorised use of your account or any other breach of security.

SoteriaSec reserves the right to suspend or terminate user accounts that violate these terms or engage in unlawful or harmful conduct.

##### 3.1 Client Portals
Where SoteriaSec provides a User with access to a client portal in connection with a consulting, forensic, incident response, or expert witness engagement, that access and the User's use of the portal is also governed by SoteriaSec's General Terms and Conditions and the applicable letter of engagement between the User (or the User's organisation) and SoteriaSec. In the event of any inconsistency between these Terms and Conditions and the General Terms and Conditions in relation to portal use, the General Terms and Conditions prevail to the extent of the inconsistency.

##### 3.2 Uploaded Content
Where the User uploads files, data, or other material to a SoteriaSec hosted service or client portal, the User warrants that they own the material or have all necessary rights, consents, and authorisations to upload it, and that uploading the material does not breach any obligation of confidentiality, privacy, or applicable law owed to any third party. This warranty is in addition to, and does not limit, any equivalent warranty given under SoteriaSec's General Terms and Conditions or an applicable letter of engagement.

##### 3.3 Malicious or Hazardous Files
The User acknowledges that files uploaded in connection with a forensic, incident response, or investigative engagement may contain malware, malicious code, or other hazardous content, and that this does not constitute a breach of Section 13 (Limitations on Website Use) where the upload is made in good faith for the purposes of the engagement. SoteriaSec applies reasonable technical measures to isolate and handle such content but does not warrant that any file scanning, quarantine, or handling process will detect or neutralise all malicious content. SoteriaSec is not liable for any loss or damage arising from a User's upload of hazardous content, except to the extent caused by SoteriaSec's gross negligence, wilful misconduct, or fraud.

##### 3.4 Authorised Users
Where a Client's organisation has multiple individuals with access to a client portal, the Client is responsible for managing which individuals are authorised to access the portal on its behalf and for promptly notifying SoteriaSec in writing to revoke access for any individual who is no longer authorised, including where that individual's employment or engagement with the Client has ended. SoteriaSec is not responsible for access retained by an individual where the Client has not provided such notice.

### 4. Payment and Billing

This section applies to subscription-based hosted services and online products purchased directly through SoteriaSec's website, or its resellers. Where a client portal is provided in connection with a consulting, forensic, or advisory engagement, access is granted as part of that engagement and billed in accordance with the applicable letter of engagement and SoteriaSec's General Terms and Conditions, not this section.

Where SoteriaSec offers paid services, payment terms will be specified at the point of purchase. Unless otherwise stated, payment must be made in full before access to the service is granted. SoteriaSec accepts no responsibility for payments made through unauthorised channels or to incorrect accounts.

Subscription services will renew automatically unless cancelled by the User in accordance with the terms of the specific service offering. Cancellation requests must be made through your account settings or by contacting SoteriaSec support.

### 5. Indemnification

The User indemnifies and holds harmless SoteriaSec against any action, claim, or liability by any third party caused by or arising from the User's use of the website, services, or online products, including but not limited to:

- Breach of these terms by the User
- Infringement of third-party intellectual property rights by User-provided content
- Harm caused by the User's access to or use of the services
- Violation of applicable law by the User

### 6. Data Processors

SoteriaSec may engage third-party data processors to assist in the delivery and operation of hosted services and online products. Where applicable, such processors will be bound by written data processing agreements that meet or exceed the confidentiality and data protection standards required by applicable law and these terms.

The User's use of SoteriaSec services constitutes consent to the engagement of such data processors. Where you have a right under applicable privacy law to receive notice of data processors, SoteriaSec will provide or update such information as required by law or upon request. You may contact SoteriaSec if you wish to object to the use of a specific data processor on legitimate grounds.

### 9. Limitation of Liability

To the fullest extent permitted by law, SoteriaSec is not legally responsible for any loss or damage you might suffer related to your use of the website, services, or online products, whether from errors or omissions in documents or information, or from any other cause. This includes loss arising from your use or reliance on third-party content, links, or advertisements.

Your use of, or reliance on, any information or materials provided by SoteriaSec is entirely at your own risk. SoteriaSec shall not be liable for:

- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunity
- Errors, omissions, or inaccuracies in service functionality or information, except to the extent caused by SoteriaSec's gross negligence, wilful misconduct, or fraud

Where Australian Consumer Law applies, SoteriaSec's liability for any breach is limited to the resupply of services or the payment of the cost of resupply. This limitation does not apply to guarantees that cannot be excluded by law.

### 10. Australian Consumer Law

Where services or online products are accessed by a User in Australia, the following apply:

SoteriaSec's services come with guarantees under the Australian Consumer Law (Competition and Consumer Act 2010 (Cth)) that cannot be excluded, modified, or restricted. These guarantees are in addition to any third-party product warranties.

For the purposes of Schedule 2 of the Australian Consumer Law, in particular Sections 51 to 53, 64, and 64A of Part 3-2, Division 1, Subdivision A, SoteriaSec's liability for breach of a guaranteed term is limited to: the resupply of services to you or the payment of the cost of having the services supplied again.

### 11. Singapore Consumer Protection

Where services or online products are accessed by a User in Singapore, the following apply:

SoteriaSec complies with the Consumer Protection (Fair Trading) Act 2003 (Cap 75) and the Personal Data Protection Act 2012 (PDPA) to the extent applicable. However, the User acknowledges that SoteriaSec's hosted services and online products are primarily provided on a business or commercial basis.

The User warrants that they understand the nature and scope of the services and have had the opportunity to seek independent legal or professional advice if required before use.

### 12. Intellectual Property and Use Restrictions

All materials on the SoteriaSec website and within hosted services, including design, layout, text, graphics, logos, images, software code, and trademarks, are owned by or licensed to SoteriaSec. You are not permitted to reproduce, republish, upload, transmit, or distribute any of these materials without express written permission from SoteriaSec.

Specifically, you may not:

- Reproduce documents or information for purposes of sale or commercial use
- Redistribute or commercially exploit content to third parties
- Reverse engineer, decompile, or attempt to derive the source code of any service or software
- Copy materials to any website or electronic retrieval system without authorisation
- Remove or obscure any proprietary notices, labels, or marks

Exceptions for personal use only: You may print or download extracts for your personal, non-commercial use, provided you acknowledge SoteriaSec as the source and do not modify or remove any proprietary markings.

For services you have paid access to, your rights are limited to the use of those services as described in the applicable service terms. Redistribution or sharing of access credentials or service features with unauthorised users is prohibited.

### 13. Limitations on Website Use

You must be over 18 years of age to use this website and to register for or use any SoteriaSec hosted services or online products.

You may not use the website or services for any unlawful purpose or in any way that violates these terms. Specifically, you may not:

- Access or search the site using any robot, spider, scraper, or automated means
- Interfere with, disrupt, or create an undue burden on the website or service infrastructure
- Attempt to gain unauthorised access to any portion of the website or services
- Remove or modify any proprietary notices, labels, or marks
- Circumvent any access controls or security measures
- Use the services to transmit malware, spam, or harmful content
- Engage in any form of attack or abuse against the services or other users

SoteriaSec reserves the right to suspend or terminate access to the services immediately if you breach these restrictions.

### 14. Third-Party Links and Content

SoteriaSec may provide links to other websites for convenience. This does not imply sponsorship, endorsement, approval, or arrangement with the owners of those websites. SoteriaSec takes no responsibility for the content found on linked websites.

SoteriaSec's website and services may contain information or integrations provided by third parties. SoteriaSec accepts no responsibility for any information, advice, or claims made by third parties. Any such content is provided as-is and does not constitute advice or endorsement by SoteriaSec.

### 15. Privacy and Data Protection

At SoteriaSec, we are committed to protecting your privacy. Information collected is used to operate and improve the services provided to you and is protected by security measures appropriate to the sensitivity of the data.

We comply with applicable privacy legislation, including:

- The Australian Privacy Principles (Privacy Act 1988 (Cth)) where services are accessed from or used in Australia
- The Personal Data Protection Act 2012 (PDPA) where services are accessed from or used in Singapore

Please refer to our separate Privacy Policy for full details on how we collect, use, store, and protect your personal information.

Where you use SoteriaSec services that involve processing of personal data, a Data Processing Agreement (DPA) may apply. Where required by law, a separate DPA will be made available for execution.

### 16. Acceptable Use

The User agrees to use the website and services only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the website and services. Prohibited behaviour includes:

- Harassing or causing distress or inconvenience to any person
- Transmitting obscene or offensive content or disrupting the normal flow of dialogue
- Disrupting the normal flow of dialogue within SoteriaSec's communication channels
- Attempting to gain unauthorised access to systems or data
- Interfering with the proper functioning of the services

### 17. Disclaimer of Warranties

To the fullest extent permitted by law, SoteriaSec disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for any particular purpose.

SoteriaSec gives no warranty that:

- The services will be uninterrupted, error-free, or free from defects
- Defects will be corrected
- The website or servers are free of viruses or harmful components
- The services will meet your specific requirements or expectations

Whilst SoteriaSec endeavours to maintain accurate, reliable, and up-to-date services, we make no representations regarding the correctness, suitability, accuracy, reliability, or completeness of any service, feature, or information provided.

Your use of any SoteriaSec service, feature, or information is at your own risk and your own sole responsibility. SoteriaSec shall not be liable for any reliance you place on them.

### 18. Disclosure of Information

SoteriaSec may be required in certain circumstances to disclose information in good faith where:

- Disclosure is required by law, court order, or legitimate regulatory authority
- Disclosure is necessary to enforce these terms or the applicable service agreement
- Disclosure is necessary to protect the rights, property, or safety of SoteriaSec, Users, or third parties

Where legally permissible, SoteriaSec will notify the User before disclosing information.

### 19. Exclusion of Competitors

If you are in the business of creating or providing similar hosted services, online products, or tools to those offered by SoteriaSec for a fee, you are a competitor of SoteriaSec. SoteriaSec expressly excludes and does not permit you to:

- Use or access this website or services
- Download any documents, code, information, or tools from the website or services
- Obtain such materials through a third party

If you breach this term, SoteriaSec will hold you fully responsible for any loss sustained and accountable for any profits made from such unauthorised use. SoteriaSec reserves the right to exclude and deny any person access to its website, services, or information in its sole discretion.

### 20. Whole Agreement

These Terms and Conditions, together with any Privacy Policy, service description, or data processing agreement, represent the whole agreement between you and SoteriaSec concerning your use of the website, services, and online products. No other term is included in this agreement except where required by applicable legislation.

All implied terms except those implied by statute and which cannot be expressly excluded are hereby expressly excluded.

### 21. Amendment and Severability

If any clause or term in these conditions would, under any applicable statute or law, be illegal, void, or unenforceable in any jurisdiction, that clause shall not apply in that jurisdiction and shall be deemed never to have been included in these terms for that jurisdiction only.

Such a clause, if legal and enforceable in any other jurisdiction, shall continue to be fully enforceable and part of this agreement in those other jurisdictions.

The deemed exclusion of any term shall not affect or modify the full enforceability and construction of the other clauses of these terms and conditions.

### 22. Jurisdiction and Dispute Resolution

These Terms and Conditions and your use of SoteriaSec's website and services are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Any dispute arising out of or related to these terms, the website, or your use of the services must first be referred to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, either party may refer the dispute to mediation, and if unresolved, the dispute shall be subject to the non-exclusive jurisdiction of the courts of Singapore, without prejudice to either party's right to seek urgent or interim relief in any jurisdiction.

SoteriaSec does not offer its hosted services or online products for use by, or accept liability arising from claims brought in, the United States or Canada."

### 23. Termination

SoteriaSec reserves the right to suspend or terminate a User's access to the website or services at any time, with or without cause, by providing notice to the User. Upon termination, your right to use the services ceases immediately.

Where content or data stored in a client portal relates to a specific engagement, that data will be handled in accordance with SoteriaSec's General Terms and Conditions. For all other User-generated content or account data, such data may be deleted 30 days after termination unless you request retrieval in writing.
